This Confidentiality & Non-Disclosure Agreement (“Agreement”) is between you (“Recipient”) and ScreenForge Labs, LLC, operator of VolunteerBadge (“Company”). By signing below, you agree:
1. Confidential Information
The information on the pages that follow — including the list, identity, composition, coverage, categorization, update frequency, refresh cadence, provider relationships, and organization of the Company’s criminal-record data sources, together with any related methods, metrics, algorithms, or compilations (collectively, the “Confidential Information”) — is the confidential, proprietary, and trade-secret property of ScreenForge Labs, LLC, disclosed to you solely so that you may evaluate the Company’s screening services in good faith.
2. Permitted purpose & your representations
You represent and warrant that you are accessing the Confidential Information solely to evaluate the Company’s services as, or on behalf of, a prospective or current customer acting in good faith. You represent that you are NOT accessing it, in whole or in part, to: (a) initiate, support, investigate, or prepare any claim, demand, dispute, regulatory complaint, or litigation against the Company or its affiliates; (b) reverse-engineer, benchmark, reconstruct, replicate, or compete with the Company’s data sourcing, aggregation, or methods; or (c) act for, or share the information with, any competitor. If any of these describe your purpose, you must not sign, and you must not proceed.
3. Restrictions
You will (a) keep the Confidential Information strictly confidential; (b) use it only for the Permitted Purpose above; and (c) not copy, download, scrape, export, screenshot, photograph, transcribe, redistribute, publish, or disclose it to any third party. You will not use the Confidential Information to reverse-engineer, reconstruct, benchmark, or attempt to identify, replicate, or compete with the Company’s data sourcing, aggregation, or providers.
4. No rights granted; no admissions
No license, ownership, or other right in the Confidential Information is granted to you. All rights remain exclusively with the Company. Nothing disclosed is an admission of any fact or liability, is offered as evidence, or may be used or characterized as such in any proceeding.
5. Term
These obligations continue for five (5) years from the date of disclosure, and indefinitely for any information that qualifies as a trade secret under applicable law.
6. Remedies
You acknowledge that unauthorized access, use, or disclosure — or access obtained through a false representation of purpose under Section 2 — would cause the Company irreparable harm for which monetary damages are inadequate, and that the Company is entitled to seek injunctive relief in addition to any other available remedy, plus its reasonable attorneys’ fees and costs.
7. General
This Agreement is personal to you; each individual who views the Confidential Information must agree to it separately. It is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, with exclusive venue in the state or federal courts located in Lee County, Florida. It is the entire agreement on this subject and binds your successors and assigns.
